The Companies Act, 1994 (ধারা ২৫) অনুযায়ী, কোনো নতুন কোম্পানি নিবন্ধনের সময় একটি Declaration on Registration of Company জমা দিতে হয়।

Form-III (Notice of the Consolidation, Division)

Under the Companies Act, 1994 (Bangladesh), Sections 53 and 54 deal with the alteration of share capital of a company, particularly through consolidation or division of shares.
Section 53 – Consolidation and Division of Shares:
A company, if authorized by its Articles of Association, may consolidate (combine) or subdivide (split) its share capital.Consolidation means combining smaller shares into larger ones (e.g., ten Tk. 10 shares become one Tk. 100 share).
Division (sub-division) means dividing larger shares into smaller denominations (e.g., one Tk. 100 share becomes ten Tk. 10 shares).
After such changes, the company must notify the Registrar of Joint Stock Companies (RJSC) through a Notice of Consolidation or Division.
Section 54 – Notice to Registrar:
When a company consolidates, divides, converts, or cancels its share capital, it must submit a notice of the alteration to the Registrar within the prescribed time and form.
This ensures the company’s records are properly updated in the official register

বাংলাদেশের The Companies Act, 1994–এর ধারা ৫৩ ও ৫৪ অনুযায়ী কোনো কোম্পানি তার শেয়ার মূলধনের পরিবর্তন (Alteration of Share Capital) করতে পারে, যেমন একত্রীকরণ (Consolidation) বা বিভাজন (Division/Sub-division)।
ধারা ৫৩ – শেয়ার একত্রীকরণ ও বিভাজন:
কোম্পানির সংবিধিতে অনুমতি থাকলে, কোম্পানি তার শেয়ারসমূহকেএকত্রীকরণ (Consolidation): ছোট শেয়ারগুলো একত্রে বড় শেয়ারে রূপান্তর করতে পারে।
উদাহরণ: ১০টি ১০ টাকার শেয়ারকে একত্রে ১টি ১০০ টাকার শেয়ারে পরিণত করা।বিভাজন (Sub-division): বড় শেয়ারকে ছোট শেয়ারে ভাগ করা যায়।
উদাহরণ: ১টি ১০০ টাকার শেয়ারকে ১০টি ১০ টাকার শেয়ারে ভাগ করা।
ধারা ৫৪ – রেজিস্ট্রারকে নোটিশ প্রদান:
কোম্পানি যখন তার শেয়ার একত্রীকরণ, বিভাজন, রূপান্তর বা বাতিল করে, তখন নির্ধারিত সময়ের মধ্যে Registrar of Joint Stock Companies (RJSC)–কে এ বিষয়ে নোটিশ (Notice of Alteration) দিতে হবে।
