Finality of Certificate of Incorporation

(1) When the Registrar grants a certificate of incorporation to any association, it shall be conclusive evidence that all the requirements of this Act in respect of registration and all matters precedent and incidental thereto have been complied with, and that the association is a company duly authorized to be registered and is duly incorporated under the law.

(2) A declaration to the effect that all or any of the requirements mentioned in sub-section (1) have been complied with shall be filed with the Registrar by—
an advocate engaged in the formation of the company and entitled to appear before the High Court Division, or a person whose name is mentioned in the articles of association as a director, manager, or secretary of the company.

 

Introduction:

Form–I is an official declaration that confirms all the legal requirements for registering a company under the Companies Act, 1994 have been properly completed. It must be submitted to the Registrar of Joint Stock Companies and Firms (RJSC) before the company can receive its Certificate of Incorporation.

Who Submits It:

The declaration in Form–I is signed and submitted by:

  • An advocate involved in forming the company, who has the right to appear before the High Court Division, or

  • A person whose name is mentioned in the company’s Articles of Association, such as a Director, Manager, or Secretary.

Purpose of the Form:

The purpose of Form–I is to certify that:

  • All documents and procedures required by law have been properly completed.

  • The information provided in the company’s memorandum and articles is accurate.

  • The company is now ready to be legally incorporated.

Legal Importance:

Once this declaration is accepted by the Registrar, it serves as sufficient evidence that the company has met all legal conditions for registration.
Afterward, the Registrar issues the Certificate of Incorporation, which is final proof that the company is legally established.

Form–I acts as a legal declaration of compliance and is an essential step before a company is officially born.

ফর্ম–I (কোম্পানি নিবন্ধনের ঘোষণাপত্র) হলো একটি সরকারি দলিল, যা কোম্পানিস আইন, ১৯৯৪ এর ধারা ২৫ অনুযায়ী রেজিস্ট্রার অব জয়েন্ট স্টক কোম্পানিজ অ্যান্ড ফার্মস (RJSC)-এর নিকট জমা দিতে হয়। এর মাধ্যমে ঘোষণা করা হয় যে কোম্পানি নিবন্ধনের জন্য প্রয়োজনীয় সব আইনগত শর্ত ও প্রক্রিয়া সম্পন্ন হয়েছে। এই ঘোষণাপত্রটি একজন আইনজীবী অথবা কোম্পানির পরিচালক, ম্যানেজার বা সচিব প্রদান করতে পারেন। রেজিস্ট্রার এটি গ্রহণ করলে তা কোম্পানির আইনগত নিবন্ধনের প্রমাণ হিসেবে গণ্য হয় এবং পরবর্তীতে নিগমিতকরণের প্রত্যয়নপত্র (Certificate of Incorporation) ইস্যু করা হয়। সংক্ষেপে, ফর্ম–I হলো কোম্পানির আইনি জন্মের পূর্বশর্ত।
